Terms of Service

1. Acceptance of Terms

By creating an account, subscribing to, or using PitLane Director AC or the website at pitlanesystems.com (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms constitute the entire agreement between you and PitLane Systems LLC (“PitLane,” “we,” “us,” or “our”), a Texas limited liability company.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement.

3. Account Terms

  • You must provide accurate and complete information when creating your account
  • You are responsible for maintaining the security of your account and password
  • You are responsible for all activity that occurs under your account
  • One account per person. Sharing account credentials is prohibited.
  • You must notify us immediately at gray@pitlanesystems.com if you become aware of any unauthorized use of your account

4. Subscription and Payment

PitLane Director AC is available as a monthly subscription. By subscribing, you agree to the following:

  • Pricing:the subscription price will be disclosed at the time of purchase and during checkout. Prices are subject to change with at least 30 days' notice to existing subscribers.
  • Billing: subscriptions are billed monthly through Stripe. You authorize us to charge your payment method on a recurring basis.
  • Auto-renewal: your subscription automatically renews each month until you cancel. You will be charged at the beginning of each billing period.
  • Cancellation: you may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation, you retain access to the Service until the end of your current billing period. No refunds or credits will be issued for the remaining period.

5. Refund Policy

All subscription fees are non-refundable. You may cancel your subscription at any time, but no refunds or credits will be issued for partial billing periods, unused time, or any reason whatsoever. By subscribing, you acknowledge and agree to this no-refund policy.

For users in the European Economic Area (EEA): By subscribing and accessing or downloading the software, you expressly consent to the immediate performance of the service and acknowledge that you lose your right of withdrawal under the EU Consumer Rights Directive (2011/83/EU) once you access or download the software.

6. Software License

Subject to your compliance with these Terms and maintenance of an active subscription, PitLane Systems LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use PitLane Director AC on up to the number of devices permitted by your subscription plan (currently 3 devices).

This license does not include the right to:

  • Copy, modify, distribute, sell, or sublicense the software or any part of it
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
  • Circumvent, disable, or interfere with any license verification, device limit enforcement, or security features
  • Share your account credentials or activation tokens with any third party
  • Use the software for any unlawful purpose

This license terminates immediately upon cancellation of your subscription, termination of your account, or violation of these Terms.

7. Device Limits

Your subscription plan includes a limit on the number of devices on which you may activate PitLane Director AC. The current limit is 3 devices per subscription. Each device activation generates a unique identifier that is associated with your account.

You may deactivate devices from your account dashboard. If you reinstall the software on a device, it may generate a new device identifier, requiring you to deactivate the old one if you have reached your limit.

8. Intellectual Property

PitLane Director AC, the PitLane name and logo, and all associated content, features, and functionality are owned by PitLane Systems LLC and are protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a license to use the software — it does not transfer any ownership rights.

9. User-Created Content

PitLane Director AC allows you to create, import, and use custom broadcast overlays. You retain ownership of any overlays you create. By sharing overlays through any PitLane distribution mechanism, you grant PitLane Systems LLC a non-exclusive, worldwide, royalty-free license to distribute that content to other PitLane users.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PITLANE SYSTEMS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. PITLANE SYSTEMS LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE COMPATIBLE WITH ANY THIRD-PARTY SOFTWARE, HARDWARE, OR SERVICES, INCLUDING BUT NOT LIMITED TO ASSETTO CORSA, OBS STUDIO, OR ANY STREAMING PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PITLANE SYSTEMS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT RELATED TO THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL PITLANE SYSTEMS LLC'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNTS PAID BY YOU TO PITLANE SYSTEMS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless PitLane Systems LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, non-payment, fraudulent activity, or abusive behavior.

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. Upon termination, your license to use the software is immediately revoked.

Sections 5, 8, 10, 11, 12, 14, and 15 survive termination of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of such courts.

15. General

  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
  • Waiver: our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
  • Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Modifications: we may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
